Overview

Welcome to Kyotic.

These Terms of Service, together with any policies, notices, and supplemental terms referenced in them, govern your access to and use of our website, online store, products, services, content, features, tools, account functions, communications, and any related services we provide, whether accessed through our website, mobile experience, email, customer portal, or any other Kyotic-controlled channel.

For purposes of these Terms, “Kyotic,” “we,” “us,” and “our” mean Street Cop Labs LLC d/b/a Kyotic, and “you” or “customer” means the person or entity accessing the Services, creating an account, placing an order, or otherwise interacting with us.

Kyotic is operated by Street Cop Labs LLC d/b/a Kyotic and is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make through our store are made directly with Street Cop Labs LLC d/b/a Kyotic, not Shopify.

By visiting, accessing, browsing, creating an account, placing an order, clicking to accept these Terms where that option is presented, or otherwise using the Services, you agree to be bound by these Terms, our Privacy Policy, our Returns & Exchanges Policy, our Shipping Policy, and any other policies or terms incorporated by reference.

If you do not agree to these Terms, do not access or use the Services or place an order with Kyotic.

Nothing in these Terms limits any non-waivable rights you may have under applicable law.

Section 1 — Eligibility, Access, and Account

You may use the Services only if you are at least the age of majority in your state, province, or country of residence and are legally capable of entering into a binding agreement.

By using the Services, you represent and warrant that:

  1. You are legally permitted to use the Services.
  2. You are legally permitted to purchase the products you order.
  3. All information you provide to Kyotic is accurate, current, complete, and not misleading.
  4. You have the right to provide any information submitted through the Services.
  5. You will promptly update your account, billing, shipping, and contact information as needed.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may not transfer, sell, assign, share, or license your account to any other person.

Kyotic may refuse service, suspend access, disable an account, cancel orders, limit purchasing activity, or require additional verification at any time where we believe it is necessary to protect Kyotic, our customers, payment processors, carriers, fulfillment partners, or the integrity of the Services.

Section 2 — Product Information, Product Use, and No Professional Advice

We make reasonable efforts to display our products accurately. However, product colors, packaging, labels, sizing, dimensions, finishes, textures, and appearance may vary from what appears on your screen due to device settings, lighting, manufacturing variation, browser display, photography, or other factors.

Product descriptions, images, specifications, prices, availability, and related information are subject to change at any time without notice.

Kyotic does not warrant that a product’s appearance, fit, feel, color, performance, or quality will meet your personal expectations unless expressly stated in a written product warranty issued by Kyotic.

You are responsible for reading and following all product labels, warnings, instructions, manuals, safety notices, sizing information, and usage directions before using any product.

You agree not to misuse, alter, modify, resell, repackage, relabel, reverse engineer, or use any Kyotic product in a manner that is unsafe, unlawful, misleading, unauthorized, or inconsistent with the product’s intended use.

The Services may include educational, lifestyle, training, health, wellness, nutrition, safety, tactical, product-use, or general informational content. That content is provided for general information only and is not medical, legal, professional, safety, tactical, law-enforcement, or emergency advice.

Kyotic products and content are not a substitute for professional training, agency policies, medical advice, legal advice, or the judgment of qualified professionals.

Section 3 — Supplements, Nutritional Products, and Health-Related Information

This section applies to any supplements, nutritional products, ingestibles, powders, capsules, consumables, or health-related products sold or described by Kyotic.

Statements made on the Services about supplements or nutritional products are for general informational purposes only. Unless expressly stated otherwise, these statements have not been evaluated by the Food and Drug Administration.

Kyotic products are not intended to diagnose, treat, cure, or prevent any disease.

You should consult a qualified healthcare professional before using any supplement, nutritional product, or health-related product, especially if you are pregnant, nursing, taking medication, have a medical condition, are under medical supervision, have allergies, are sensitive to any ingredient, or are purchasing for another person.

Do not use any supplement or nutritional product if the seal is broken, packaging is damaged, the product appears tampered with, the product appears contaminated, or the product is past any applicable expiration or best-by date.

You are responsible for reviewing all ingredients, warnings, allergen statements, serving instructions, and label information before use.

Section 4 — Orders, Acceptance, and Cancellation

When you place an order, you are making an offer to purchase the products in that order.

Kyotic may accept, decline, cancel, limit, or refuse any order for any reason, including suspected fraud, payment issues, inaccurate information, product unavailability, pricing errors, inventory errors, shipping restrictions, resale concerns, policy violations, abusive conduct, or suspected misuse of promotions.

Your order is not accepted until Kyotic confirms acceptance. An order confirmation, payment authorization, or receipt of an order number does not guarantee acceptance if we later identify an issue with the order.

We must receive and process valid payment before an order is accepted and fulfilled.

Please review your order carefully before submitting it. Kyotic may be unable to modify or cancel an order after it has been accepted, processed, fulfilled, transferred to a fulfillment partner, or shipped.

If Kyotic cancels an order after payment has been captured, Kyotic will issue a refund for the canceled portion of the order to the original payment method, unless otherwise required by law or agreed by Kyotic in writing.

You represent and warrant that purchases are for personal, household, agency, departmental, or authorized business use, and not for unauthorized resale, diversion, export, gray-market distribution, counterfeiting, relabeling, or other commercial exploitation.

Kyotic may limit, cancel, or refuse orders that appear to be placed by resellers, bots, purchasing groups, unauthorized distributors, freight forwarders, or accounts attempting to bypass product limits, geographic limits, or promotion rules.

Section 5 — Prices, Taxes, Promotions, and Billing

Prices, discounts, promotions, product availability, shipping costs, and other charges are subject to change without notice.

The price charged for a product will generally be the price displayed at the time your order is submitted, subject to correction for errors, inaccuracies, or omissions.

Unless expressly stated otherwise, posted prices do not include taxes, shipping, handling, customs, duties, brokerage fees, import charges, foreign transaction fees, or similar charges.

You are responsible for all applicable taxes, customs charges, duties, import fees, carrier fees, brokerage fees, and other charges associated with your order.

Promotions, discounts, coupon codes, bundles, loyalty credits, free gifts, and other offers are subject to any additional terms presented with the offer. Promotions may be modified, suspended, limited, or discontinued at any time.

Promotions may not be combined unless expressly stated. Kyotic may cancel orders, revoke discounts, or adjust pricing where a promotion is used fraudulently, abusively, incorrectly, or contrary to its terms.

You agree to provide current, complete, and accurate payment and billing information.

By submitting payment information, you represent and warrant that:

  1. You are authorized to use the payment method.
  2. The payment information provided is true, accurate, and complete.
  3. Charges incurred by you will be honored by your card issuer, bank, financing provider, or payment processor.
  4. You will pay all charges incurred by you, including taxes, shipping, handling, and other applicable fees.

Kyotic may use third-party payment processors. Payment processing is subject to the terms, conditions, and privacy practices of those processors.

Section 6 — Shipping, Delivery, Fulfillment, and Risk of Loss

Shipping and delivery dates are estimates only unless Kyotic expressly states in writing that a specific delivery date is guaranteed.

Kyotic is not responsible for delays caused by carriers, customs, weather, natural disasters, labor disruptions, supply chain issues, payment verification, incorrect addresses, customer inaction, third-party fulfillment centers, security screening, governmental action, or other events outside Kyotic’s reasonable control.

If we are unable to ship within the timeframe stated at the time of purchase, Kyotic will comply with applicable law and may notify you of the delay, provide a revised estimated shipping date, request your consent to the delay, or provide available cancellation/refund options.

Products may ship from Kyotic, a third-party fulfillment center, supplier, warehouse, distributor, or logistics partner.

You are responsible for providing a complete, accurate, and deliverable shipping address. Kyotic is not responsible for delays, losses, carrier fees, return shipping charges, reshipping charges, or failed deliveries caused by incorrect, incomplete, outdated, or undeliverable addresses.

To the fullest extent permitted by law, title and risk of loss pass to you when the products are transferred to the shipping carrier. Carrier-marked delivery creates a presumption that the package was delivered.

If a package is marked delivered but you cannot locate it, you are responsible for promptly checking with household members, neighbors, building personnel, mailrooms, parcel lockers, local carrier offices, and the carrier directly.

Kyotic may, in its discretion, assist with carrier claims, but we do not guarantee replacement or refund for packages marked delivered by the carrier unless required by law or unless Kyotic determines that a replacement or refund is appropriate.

Section 7 — Returns, Exchanges, Refunds, and Final Sale Items

Purchases are subject to Kyotic’s Returns & Exchanges Policy, which is incorporated into these Terms by reference.

You are responsible for reviewing the Returns & Exchanges Policy before placing an order.

Return or exchange authorization does not guarantee approval. Returned items must satisfy all eligibility requirements and pass inspection before any refund, exchange, store credit, or replacement is issued.

Certain products may be final sale, non-returnable, or non-exchangeable, including supplements, ingestibles, custom products, made-to-order items, sale items, clearance items, blemished items, factory seconds, gift cards, personal care products, hazardous items, promotional items, and any other items identified as final sale or non-returnable.

Original shipping charges, return shipping charges, handling fees, route protection, gift wrap, processing fees, customs, duties, and similar charges are non-refundable unless required by law or unless Kyotic determines that the return resulted from Kyotic’s error.

If you initiate a chargeback, payment dispute, payment reversal, or similar claim while a return, refund, replacement, or exchange is pending, Kyotic may pause further processing until the payment dispute is resolved to avoid duplicate refunds or inconsistent outcomes.

Section 8 — Refused, Undeliverable, Lost, or Unclaimed Packages

Refusing delivery, failing to pick up a package, providing an incorrect address, failing to respond to carrier notices, or allowing a package to be returned to sender does not automatically cancel an order or entitle you to a full refund.

If an order is returned to Kyotic as refused, undeliverable, unclaimed, abandoned, or because of an incorrect or incomplete address, Kyotic may deduct original shipping, return shipping, carrier fees, handling fees, payment processing costs, and any applicable restocking fee from any refund, to the fullest extent permitted by law.

If you request reshipment, you are responsible for all reshipping costs.

Section 9 — Third-Party Marketplaces, Retailers, and Resellers

These Terms apply to purchases made directly from Kyotic through our website or official sales channels.

Products purchased from third-party retailers, marketplaces, dealers, resellers, distributors, or other sellers are subject to that seller’s terms, return policy, refund policy, shipping policy, warranty policy, and customer service procedures.

Kyotic is not responsible for third-party seller pricing, listings, representations, shipping practices, return decisions, refunds, product condition, counterfeit products, unauthorized sales, or marketplace disputes.

Kyotic may refuse warranty, return, refund, replacement, or support requests for products purchased from unauthorized sellers, resellers, gray-market channels, or sources that cannot provide valid proof of purchase.

Section 10 — Intellectual Property

The Services, including all trademarks, service marks, logos, trade names, product names, text, images, videos, audio, graphics, icons, product reviews, page layouts, software, features, designs, packaging, slogans, content, and the selection and arrangement of those materials, are owned by Kyotic, its affiliates, licensors, suppliers, or service providers and are protected by U.S. and foreign intellectual property laws.

These Terms permit you to use the Services only for personal, non-commercial, lawful use, unless Kyotic expressly authorizes otherwise in writing.

You may not reproduce, copy, scrape, download, store, modify, distribute, sell, resell, license, publicly display, publicly perform, republish, create derivative works from, reverse engineer, or exploit any portion of the Services or Kyotic intellectual property without prior written permission from Kyotic.

No rights, title, or interest in or to the Services or any Kyotic intellectual property are transferred to you.

The names, logos, product names, service names, designs, and slogans of Kyotic are trademarks or trade dress of Kyotic or its affiliates or licensors. You may not use them without prior written permission.

Shopify’s name, logo, product names, service names, designs, and slogans are trademarks of Shopify. All other trademarks are the property of their respective owners.

Section 11 — User Content, Feedback, Reviews, and Submissions

You may have the opportunity to submit, upload, post, email, tag, share, or otherwise provide reviews, photographs, videos, comments, messages, feedback, suggestions, ideas, testimonials, social media posts, or other content to Kyotic or through the Services.

You retain ownership of content you submit, subject to the license granted below.

By submitting content to Kyotic or through the Services, you grant Kyotic a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, display, distribute, publish, modify, adapt, translate, create derivative works from, and otherwise use that content in connection with operating, improving, advertising, and promoting Kyotic, the Services, and our products, to the fullest extent permitted by law.

You represent and warrant that:

  1. You own or have all necessary rights to submit the content.
  2. Your content is truthful and not misleading.
  3. Your content does not violate any law or third-party rights.
  4. Your content does not contain confidential information, trade secrets, malware, spyware, malicious code, or unlawful material.
  5. You have disclosed any compensation, incentive, discount, free product, affiliate relationship, or other material connection related to your content.

Kyotic may, but is not required to, monitor, edit, remove, reject, or decline to publish content on our own Services for any lawful reason, including content that Kyotic believes is false, misleading, defamatory, abusive, obscene, threatening, harassing, infringing, fraudulent, spam, irrelevant, unlawful, unsafe, or otherwise objectionable.

Nothing in these Terms restricts your lawful right to post an honest review, opinion, or assessment of Kyotic, our products, or our Services.

Kyotic does not assume responsibility for user content and does not endorse user content merely because it appears on or through the Services.

Section 12 — Optional Tools and Third-Party Services

We may provide access to third-party tools, apps, widgets, plugins, payment providers, financing providers, review platforms, shipping protection services, tracking tools, customer portals, or other third-party services.

Kyotic does not control and is not responsible for third-party tools or services unless expressly stated otherwise.

Third-party tools and services are provided “as is” and “as available,” without warranties, representations, or conditions of any kind from Kyotic.

Your use of third-party tools or services is at your own risk and may be subject to separate third-party terms, conditions, fees, and privacy policies.

Kyotic may add, modify, suspend, or discontinue third-party tools or services at any time without notice.

Section 13 — Third-Party Links

The Services may contain links, integrations, embedded features, or references to websites, products, services, or content provided by third parties.

Kyotic is not responsible for examining, evaluating, endorsing, or guaranteeing third-party websites, products, services, content, accuracy, policies, or practices.

If you access third-party websites or services, you do so at your own risk.

Complaints, claims, concerns, or questions regarding third-party products or services should be directed to the applicable third party.

Section 14 — Relationship With Shopify

Kyotic is powered by Shopify, which enables us to provide the online store and related Services.

However, purchases made through our store are made directly with Kyotic, not Shopify.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Kyotic, including any injury, damage, loss, claim, return, refund, chargeback, fulfillment issue, product issue, or dispute arising from products or services purchased from Kyotic.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with Kyotic.

Section 15 — Privacy

Personal information collected through the Services is subject to our Privacy Policy, available here: [Insert Privacy Policy Link].

Because the Services are hosted by Shopify, Shopify may collect and process personal information relating to your access to and use of the Services in order to provide, operate, secure, and improve the Services.

Information you submit through the Services may be transmitted to and processed by Kyotic, Shopify, payment processors, fulfillment partners, shipping carriers, marketing providers, analytics providers, fraud-prevention providers, customer support providers, and other service providers, including parties located outside your state, province, or country.

By using the Services, you acknowledge that you have reviewed our Privacy Policy and understand that your information will be handled as described there.

Section 16 — Electronic Communications, Notices, Email, and SMS

By using the Services or placing an order, you consent to receive electronic communications from Kyotic, including order confirmations, shipping updates, delivery notices, account notices, return/exchange communications, customer service messages, policy notices, and other transactional or administrative messages.

Electronic communications satisfy any legal requirement that communications be in writing, to the fullest extent permitted by law.

Marketing emails or text messages will be sent only where permitted by law and based on any consent required by law. You may opt out of marketing communications using the unsubscribe instructions provided in those communications.

Opting out of marketing communications does not prevent Kyotic from sending transactional, account, order, shipping, return, safety, legal, or policy-related communications.

You are responsible for ensuring that your email address, phone number, and contact information remain accurate and current.

Section 17 — Errors, Inaccuracies, and Omissions

The Services may contain errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, availability, shipping charges, transit times, taxes, product images, product specifications, or other information.

Kyotic reserves the right to correct errors, inaccuracies, or omissions at any time without prior notice, including after an order has been submitted.

Kyotic may update information, cancel orders, limit quantities, correct pricing, or refuse fulfillment where information on the Services is inaccurate, incomplete, or outdated.

If your payment has already been captured for an order canceled because of an error, Kyotic will issue a refund for the canceled portion of the order.

Section 18 — Prohibited Uses

You may access and use the Services only for lawful purposes and in accordance with these Terms.

You agree not to use the Services, directly or indirectly:

  1. For any unlawful, fraudulent, abusive, deceptive, malicious, or unauthorized purpose.
  2. To violate any federal, state, provincial, territorial, local, or international law, rule, regulation, or ordinance.
  3. To infringe, misappropriate, or violate intellectual property, privacy, publicity, contractual, or other rights.
  4. To harass, abuse, threaten, intimidate, defame, slander, disparage, impersonate, or harm Kyotic, our personnel, service providers, customers, or any other person.
  5. To submit false, misleading, incomplete, or fraudulent information.
  6. To place orders using unauthorized payment methods, stolen payment information, false identities, reshipping schemes, or fraudulent addresses.
  7. To engage in chargeback abuse, return fraud, refund fraud, warranty fraud, promotional abuse, coupon abuse, or loyalty program abuse.
  8. To resell, export, divert, or distribute products without authorization.
  9. To scrape, crawl, spider, mine, harvest, or collect data from the Services.
  10. To interfere with, disrupt, damage, disable, overburden, or impair the Services.
  11. To upload or transmit viruses, malware, spyware, bots, worms, logic bombs, or harmful code.
  12. To bypass, disable, or circumvent security, fraud-prevention, access-control, or rate-limiting measures.
  13. To use the Services in a way that exposes Kyotic, Shopify, our service providers, or our customers to liability.
  14. To assist another person in doing any of the above.

Kyotic may suspend, disable, restrict, or terminate access to the Services at any time if we believe you have violated these Terms or created risk for Kyotic, our customers, our service providers, or others.

Section 19 — Fraud, Abuse, Investigations, and Enforcement

Kyotic reserves the right to investigate suspected fraud, abuse, misuse, policy violations, unauthorized resale, payment disputes, chargeback abuse, security threats, and other improper activity.

Kyotic may retain and use order records, account records, IP addresses, device information, payment information, shipping records, carrier records, product inspection records, photographs, videos, communications, and related evidence to investigate and respond to suspected misconduct.

Kyotic may cancel orders, refuse service, suspend accounts, deny returns, deny exchanges, deny refunds, limit purchases, revoke promotions, block accounts, report activity to payment processors, provide evidence to financial institutions, cooperate with carriers, cooperate with insurers, cooperate with law enforcement, or pursue other remedies available under law.

Kyotic may refuse service to customers who threaten, harass, abuse, intimidate, defame, or attempt to coerce Kyotic personnel, vendors, partners, or service providers.

Section 20 — Termination

Kyotic may terminate these Terms or suspend, disable, or terminate your access to the Services, in whole or in part, at any time and without notice, to the fullest extent permitted by law.

You remain responsible for all amounts due up to and including the date of termination.

Any provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, user content, product use, payment obligations, returns and refunds, fraud and abuse, warranty disclaimers, limitations of liability, indemnification, dispute resolution, governing law, severability, waiver, assignment, and entire agreement.

Section 21 — Disclaimer of Warranties

The Services and all information made available through the Services are provided for general informational purposes.

Kyotic does not warrant that the Services will be uninterrupted, timely, secure, error-free, accurate, complete, reliable, or free from viruses or harmful components.

Except as expressly stated in a written warranty provided by Kyotic or as required by applicable law, the Services and products offered through the Services are provided “as is” and “as available,” without warranties, representations, or conditions of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by law, Kyotic disclaims all warranties, representations, and conditions, including implied warranties of merchantability, fitness for a particular purpose, durability, title, non-infringement, accuracy, quiet enjoyment, and course of dealing or usage of trade.

Some jurisdictions do not allow the exclusion or limitation of certain warranties, so some of the above disclaimers may not apply to you.

Nothing in these Terms limits any express written warranty that Kyotic provides with a product, nor does anything in these Terms limit rights that cannot be waived under applicable law.

Section 22 — Limitation of Liability

To the fullest extent permitted by law, Kyotic, Shopify, and their respective owners, members, managers, directors, officers, employees, contractors, agents, affiliates, licensors, suppliers, service providers, fulfillment partners, and payment processors will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, enhanced, or similar damages of any kind.

This limitation includes damages for lost profits, lost revenue, lost savings, lost data, loss of goodwill, business interruption, replacement costs, delay, loss of use, emotional distress, reputational harm, or similar damages, whether based in contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if Kyotic has been advised of the possibility of such damages.

To the fullest extent permitted by law, Kyotic’s total liability for any claim arising out of or relating to the Services, products, orders, or these Terms will not exceed the greater of:

  1. The amount you paid to Kyotic for the product or order giving rise to the claim; or
  2. $100.

The limitations in this section apply to the fullest extent permitted by law and do not limit liability that cannot be limited under applicable law.

Section 23 — Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Kyotic, Shopify, and their respective owners, members, managers, directors, officers, employees, contractors, agents, affiliates, licensors, suppliers, service providers, fulfillment partners, and payment processors from and against any claims, demands, actions, losses, damages, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. Your breach of these Terms or any policy incorporated by reference.
  2. Your violation of any law, regulation, or third-party right.
  3. Your misuse of the Services or products.
  4. Your user content, feedback, reviews, or submissions.
  5. Your fraud, abuse, misrepresentation, negligence, willful misconduct, or unauthorized activity.
  6. Your resale, export, distribution, modification, relabeling, or misuse of products.
  7. Your use of the Services or products in a manner not authorized by Kyotic.

Kyotic may control the defense and settlement of any indemnifiable claim at your expense. You agree to cooperate with Kyotic in the defense of such claims, including by providing relevant documents, records, and information.

Kyotic will not settle a claim requiring non-monetary obligations from you without your consent, which may not be unreasonably withheld, conditioned, or delayed.

Section 24 — Dispute Resolution, Arbitration, Class Action Waiver, and Jury Trial Waiver

Read this section carefully. It affects your legal rights.

To the fullest extent permitted by law, you and Kyotic agree to resolve disputes on an individual basis and not as part of a class, collective, consolidated, private attorney general, or representative action.

Informal Resolution First

Before either party starts arbitration or a court proceeding, the party asserting a dispute must first send a written notice describing the dispute and the relief requested.

Notices to you may be sent to the email address, billing address, shipping address, or account address associated with your order or account.

The parties will attempt in good faith to resolve the dispute informally for at least 30 calendar days after notice is received.

Agreement to Arbitrate

Except for the exceptions stated below, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, any order, any product, any communication with Kyotic, or the relationship between you and Kyotic will be resolved by binding individual arbitration.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Arbitration will be administered by [AAA / JAMS / Other Provider Selected by Counsel] under its applicable consumer arbitration rules, as modified by these Terms.

The arbitrator will have exclusive authority to resolve disputes relating to the interpretation, applicability, enforceability, formation, or scope of this arbitration agreement, except that a court will decide disputes concerning the class action waiver.

Exceptions

Either party may bring an individual claim in small claims court if the claim qualifies.

Either party may seek temporary or preliminary injunctive relief in court to protect intellectual property, confidential information, account security, system security, or to prevent unauthorized access, misuse, infringement, or fraud.

No Class or Representative Proceedings

You and Kyotic agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, class member, or representative in any class, collective, consolidated, private attorney general, or representative proceeding.

The arbitrator may not consolidate more than one person’s claims and may not preside over any class, collective, consolidated, private attorney general, or representative proceeding.

If this class action waiver is found unenforceable as to a particular claim or request for relief, then that claim or request for relief must proceed in court and not in arbitration, unless the parties agree otherwise.

Coordinated or Mass Claims

If 25 or more substantially similar arbitration demands are filed against Kyotic by or with the assistance of the same law firm, group of law firms, organization, or coordinated group, those demands will be treated as coordinated claims.

For coordinated claims, the parties agree to use staged proceedings designed to reduce unnecessary fees and encourage efficient resolution.

Unless the arbitration provider’s rules require a different procedure or counsel revises this provision, coordinated claims will proceed as follows:

  1. Up to 10 demands will proceed first as bellwether arbitrations.
  2. The remaining demands will be stayed during the bellwether process.
  3. After the bellwether arbitrations conclude, the parties will participate in good-faith mediation.
  4. Remaining claims will proceed in batches unless resolved.

This provision is intended to provide efficient dispute resolution and not to prevent any individual claim from being heard.

Arbitration Fees

Arbitration fees will be allocated according to the applicable arbitration provider’s consumer rules and applicable law.

The arbitrator may award attorneys’ fees, costs, or sanctions only where authorized by law, the arbitration provider’s rules, or these Terms.

Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to support@kyotic.com within 30 calendar days after you first agree to these Terms.

Your opt-out notice must include your full name, email address, mailing address, and a clear statement that you wish to opt out of arbitration with Kyotic.

Opting out of arbitration will not affect any other part of these Terms.

Jury Trial Waiver

To the fullest extent permitted by law, you and Kyotic knowingly and voluntarily waive any right to a trial by jury for any dispute not subject to arbitration.

Section 25 — Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms, the Services, any order, any product, or the relationship between you and Kyotic will be governed by the laws of the State of [Insert State], without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration agreement.

For any dispute not subject to arbitration or small claims court, you and Kyotic consent to the exclusive jurisdiction and venue of the state and federal courts located in [Insert County, State].

You and Kyotic waive any objection to personal jurisdiction, venue, or inconvenient forum in those courts, to the fullest extent permitted by law.

Section 26 — Time Limit to Bring Claims

To the fullest extent permitted by law, any claim or dispute arising out of or relating to these Terms, the Services, any order, any product, or the relationship between you and Kyotic must be brought within one year after the claim arises.

If applicable law does not permit a one-year limitation period, the claim must be brought within the shortest period permitted by applicable law.

Section 27 — Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law and the unenforceable portion will be deemed severed.

The remaining provisions will remain in full force and effect.

If the class action waiver is found unenforceable as to a particular claim or request for relief, then the arbitration agreement will not apply to that claim or request for relief, unless the parties agree otherwise.

Section 28 — Waiver and Entire Agreement

Kyotic’s failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy, Returns & Exchanges Policy, Shipping Policy, and any other policies or supplemental terms incorporated by reference, constitute the entire agreement between you and Kyotic regarding the Services and supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written.

Any ambiguities in these Terms will not be construed against the drafting party.

Section 29 — Assignment

You may not assign, transfer, delegate, or sublicense these Terms or any rights or obligations under them without Kyotic’s prior written consent.

Any attempted assignment in violation of this section is void.

Kyotic may assign, transfer, delegate, or sublicense these Terms, in whole or in part, without notice or consent, including in connection with a merger, acquisition, reorganization, sale of assets, change of control, corporate restructuring, or transfer of business operations.

Kyotic may update, change, or replace any part of these Terms by posting updates to our website or by providing notice where required by law.

Changes are effective on the date stated in the updated Terms or notice.

Your continued access to or use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.

Material changes will not apply retroactively to disputes that arose before the effective date of the updated Terms, unless permitted by law.

If Kyotic materially changes the arbitration agreement, you may reject that change by sending written notice to support@kyotic.com within 30 calendar days after the change becomes effective. Rejecting a change to the arbitration agreement does not affect any other part of these Terms.
